Terms of Service

1. Acceptance of Terms

By accessing or using Organic Assistant (organicassistant.app) and related services including FieldAgent (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Harrow Software LLC ("we," "our," or "us").

2. Description of Service

Organic Assistant is an AI-powered tool designed to help farmers, inspectors, and organic stakeholders with:

  • Answering questions about organic certification and compliance with USDA National Organic Program (NOP) regulations
  • Writing and understanding Organic System Plans (OSPs)
  • Farm recordkeeping through FieldAgent, our Telegram-based recording assistant
  • Organizing and managing farm activity data via Google Sheets integration

3. Beta Service

Organic Assistant is currently in beta. This means:

  • Features may change, be added, or removed without notice
  • The Service may experience downtime or interruptions
  • We are actively gathering feedback to improve the Service
  • Data formats and storage methods may be updated

4. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You may sign in using email/password or through Google OAuth. If you use Google sign-in, you authorize us to access the Google services described in our Privacy Policy.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Submit false or misleading information
  • Use automated tools to access the Service without our permission
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Share your account credentials with others

6. AI-Generated Content Disclaimer

Important: Organic Assistant uses artificial intelligence to provide information and assistance. You understand and agree that:

  • AI responses are informational only and should not be relied upon as legal, regulatory, or professional advice
  • AI may occasionally provide incorrect, incomplete, or outdated information
  • You should verify all information with official sources, your certifier, or qualified professionals before making certification decisions
  • We do not guarantee the accuracy, completeness, or timeliness of AI-generated content
  • The Service is not a substitute for consultation with your organic certifier

7. Your Content

You retain ownership of any content you submit to the Service, including farm records, notes, uploaded documents and media, OSP drafts, and chat messages ("Your Content"). By submitting content, you grant us a license to:

  • Store and process Your Content to provide the Service to you
  • Create backups for data protection purposes
  • Use aggregated, de-identified usage statistics — such as which features are used and how answers are rated — to measure and improve the Service
  • Use real examples drawn from Your Content internally to test and tune how accurately the Service reads documents, extracts records, and answers questions

We do not use Your Content to train AI models. Your Content is sent to our AI providers only to process your own request — to answer your question, extract records from a document you uploaded, or draft an OSP section from your records — and we use those providers under terms that do not permit them to train their models on it. We do not sell Your Content, and we do not use it for advertising.

We do review individual conversations, answers, and extraction results through our own monitoring tools when we are diagnosing a problem or checking quality, and we use real examples from submitted content to measure how accurately the Service reads documents and answers questions. That is human and service review, not model training.

You represent that you have the right to submit Your Content and that it does not violate any third-party rights.

8. Third-Party Services

The Service integrates with third-party services including Google (Sheets, Drive, OAuth), Telegram, and AI providers. Your use of these integrations is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by Harrow Software LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARROW SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Costs of obtaining substitute services
  • Damages arising from reliance on AI-generated information or advice
  • Losses related to organic certification decisions made using the Service

Our total liability shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may delete your account at any time.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and changing the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
